General Terms and Conditions of Sale for Mentoring Services  
<\/strong><\/span><\/h1><\/div><\/div><\/div>\n\n\n\n

Article 1 – Objet et champ d’application
<\/strong><\/mark>These General Terms and Conditions of Sale (hereinafter \u201cGTCS\u201d) define the terms and\nconditions under which ZSWAN<\/mark> <\/strong>(hereinafter \u201cthe Service Provider\u201d) provides services<\/mark> <\/strong>to consumers<\/mark> <\/strong>(hereinafter \u201cthe Client\u201d).

They apply to all service offers and all orders placed by the Client with the Service Provider,\nexcluding any other documents. By placing an order, the Client fully and unconditionally\naccepts these GTCS.

Article 3 \u2013 Services Offered<\/mark><\/strong>

3.1 Description of Services<\/mark><\/strong>
The Service Provider offers mentoring services, the description and essential characteristics\nof which are presented on the Service Provider\u2019s website and commercial documents.

3.2 Limitations
<\/mark><\/strong>The Service Provider reserves the right to modify or remove service offers at any time without affecting ongoing orders.

Article 4 – Processus de commande<\/mark><\/strong>

4.1 Request and Quote<\/mark><\/strong>
The Client may contact the Service Provider to obtain a quote or description of the services\noffered. The quote specifies the nature of the service, its price, and execution terms\n(timelines, prerequisites, etc.).

4.2 Order Validation
<\/mark><\/strong>The order is considered firm and final when the Client has:
Validated the order online,
Read and accepted these General Terms and 
Conditions of Sale.

4.3 Modification or Cancellation
<\/mark><\/strong>Any request to modify or cancel an order after validation must be submitted with the Service\nProvider\u2019s written consent. The Service Provider reserves the right to apply cancellation fees\nin case of late requests or already incurred costs.

Article 5 – Tarifs et conditions de paiement<\/mark><\/strong>

5.1 Prices<\/mark><\/strong>
Prices are expressed in euros, including all taxes (VAT), unless otherwise stated. They are\ndisplayed on the website\/commercial documents or mentioned in the quote. The Service\nProvider reserves the right to change prices at any time, but the price applied will be that in\neffect at the time of validated order.
Any discounts, reductions, or rebates granted by the\nService Provider will be indicated in the quote or communicated before order validation.

5.2 Payment
<\/mark><\/strong>Payment is made according to the methods described below.

5.2.1 Full Payment by Credit Card (CB, Visa, Mastercard) and E-Wallet Solutions (Apple Pay,\nGoogle Pay) via STRIPE
<\/mark><\/strong>Credit card payments are managed by the secure platform STRIPE, Inc. and its subsidiaries<\/mark> <\/strong>(\u201cSTRIPE\u201d).. <\/strong>STRIPE is a PCI DSS certified payment service provider ensuring transaction\nsecurity. Payments are made directly on the STRIPE interface or via its integrated E-Wallet\nsolutions. The Service Provider does not have access to the Client\u2019s banking or payment\ninformation. Order validation by the Client implies acceptance of STRIPE\u2019s General Terms of\nUse:

Full payment is made under these terms at the time of order validation on the Service\nProvider\u2019s website.  
              
5.2.2 Installment or Deferred Payment via KLARNA <\/mark><\/strong>
The Service Provider also offers installment or
deferred payment through KLARNA BANK AB\n(\u201cKLARNA\u201d). Use of this service is subject to KLARNA\u2019s prior approval. The Client must\naccept KLARNA\u2019s General Terms when selecting this payment method:

<\/a>In case of non-payment by the Client, the Service Provider reserves the right to suspend or\ncancel the order, without prejudice to claiming damages. 

5.3 Late Payment
<\/mark><\/strong>Late payment may incur late fees and a fixed collection fee of \u20ac40, in accordance with Article\nD 441-5 of the French Commercial Code.
 The Service Provider reserves the right to suspend\nobligations in case of non-payment.

Article 6 – Exécution des prestations<\/mark><\/strong>

6.1 Execution Time<\/mark><\/strong>
Services are executed within the timeframe indicated at the time of order or in the quote.\nThese deadlines are indicative. The Service Provider makes every effort to respect them but\ncannot be held liable for delays caused by the Client or force majeure.

6.2 Service Provider Obligations
<\/mark><\/strong>The Service Provider is bound by an obligation of means.<\/mark><\/strong>They will use all necessary skills\nand resources to deliver the service as described.

6.3 Client Obligations
<\/mark><\/strong>The Client agrees to:
Provide all necessary information for proper service delivery,
Actively collaborate with the Service Provider, Follow any provided instructions.

Article 7 – Droit de rétractation <\/mark><\/strong>

7.1 Principle<\/mark><\/strong>
In accordance with Article L221-18 of the French Consumer Code, the Client has 14 days\nfrom the conclusion of the contract or order validation to exercise their right of withdrawal\nwithout reason or penalty.

7.2 Exceptions
<\/mark><\/strong>The Client acknowledges that, according to Article L221-28 of the Consumer Code, the right\nof withdrawal does not apply to services fully executed before the end of the withdrawal\nperiod or in other specific cases (e.g., urgent personalized services).

7.3 Exercise Method
<\/mark><\/strong>To exercise this right, the Client must notify the Service Provider (registered letter, email,\netc.) and return any provided materials. The Service Provider will refund the Client within 14\ndays of receiving the withdrawal request (or returned materials, if any).

Article 8 – Responsabilité<\/mark><\/strong>

8.1 Limitation of Liability<\/mark><\/strong>
The Service Provider cannot be held liable for indirect damages (loss of opportunity, etc.)\nsuffered by the Client. Liability is limited to the amount paid by the Client for the disputed\nservice.

8.2 Force Majeure
<\/mark><\/strong>Neither party is liable if contract execution is delayed or prevented by force majeure (strike,\npandemic, natural disaster, etc.). Obligations are suspended during the event.

Article 9 – Propriété intellectuelle
<\/mark><\/strong>Unless otherwise stated, the Service Provider retains exclusive intellectual property rights on\nall materials (documents, methods, tools) provided during the service. The Client has a\nstrictly personal, non-transferable right of use. Any reproduction or representation without\nprior authorization is prohibited.

Article 10 – Données personnelles
<\/mark><\/strong>The Service Provider collects and processes personal data in accordance with applicable law\n(GDPR, French Data Protection Act, etc.). 
The Client has the right to access, correct, delete data, withdraw consent, and object for\nlegitimate reasons by contacting the Service Provider. They also have the right not to be\nsubject to automated decision-making (Article 22) and may lodge a complaint with the CNIL. 
Banking and payment data are collected via the Service Provider\u2019s site and processed by the\nservice providers mentioned in Article 5 as Data Controllers:

Article 12 – Médiation et règlement des litiges<\/mark><\/strong>

12.1 Complaint<\/mark><\/strong>
In case of dispute, the Client is invited to contact the Service Provider to seek an amicable\nsolution.

12.2 Mediation 
<\/mark><\/strong>Under Articles L612-1 et seq. of the Consumer Code, the Client may use a consumer\nmediator free of charge to resolve the dispute amicably. Contact details of the mediator will\nbe provided upon request.

12.3 Competent Court
<\/mark><\/strong>If no amicable agreement is reached, disputes will be brought before the competent courts of\nthe Service Provider\u2019s domicile, subject to mandatory legal provisions.

Article 13 \u2013 Applicable Law <\/mark><\/strong>
French law applies. 

Article 14 – Dispositions diverses 
<\/mark><\/strong>If any clause is deemed null or unenforceable, the remaining provisions remain fully in effect.
